PLEASE READ THESE TERMS CAREFULLY. THEY INCLUDE A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER IN RESOLVING DISPUTES THAT AFFECT HOW DISPUTES ARE RESOLVED. YOU MAY OPT OUT WITHIN 30 DAYS.

These Terms of Service ("Terms") are a binding agreement between you and TravelBreeze LLC, a Florida limited liability company ("TravelBreeze," "we," "us," or "our"), governing your use of travelbreeze.com, the TravelBreeze CRM software, the linx.bio short-link service, and related services (the "Services").

Accepting These Terms

By creating an account, accepting an invitation, purchasing a subscription, or otherwise using the Services, you agree to these Terms, our Privacy Policy, our Cookie Policy, and, if you receive text messages, our Messaging Terms. If you use the Services for an agency or other business, you represent that you have authority to bind it, and "you" includes that business.

If you do not agree, do not use the Services.

Key Definitions

  • Agency or Customer: the travel agency, host agency, or independent advisor business that holds a TravelBreeze subscription or account.
  • User: an individual authorized by a Customer to access the Services (for example an owner, administrator, or advisor).
  • Traveler: a client, prospect, or other individual whose information a Customer manages in the Services.
  • Customer Data: information, files, and content that a Customer or its Users submit to the Services, or that Travelers submit to a Customer through the Services, including Traveler personal information.
  • AI Output: content generated or extracted by AI features of the Services.

Eligibility

You must be at least 18 years old and able to form a binding contract. The Services are for business use by travel professionals and are not intended for personal, family, or household use. You may not use the Services if you are barred from doing so under US law or are on a US government restricted-party list.

Accounts and Agencies

  • Sign-in. You sign in with a one-time code sent to your email. Keep your email account secure; you are responsible for all activity under your account.
  • Accurate information. Provide accurate information and keep it current.
  • Agency control. The Agency that invites you controls its workspace. Agency owners and administrators can assign roles, view and manage Customer Data created in the workspace, change seats, and remove Users. If you leave an Agency, the Agency keeps the Customer Data you created for it.
  • Notify us promptly at [email protected] of any unauthorized use.
  • Support access. To provide support, investigate problems, or enforce these Terms, authorized TravelBreeze personnel may access your account and Customer Data, including by viewing the Services as you see them. We limit this access to what is needed.

TravelBreeze Is Not a Seller of Travel

TravelBreeze provides software. TravelBreeze is not a travel agency, tour operator, travel supplier, or seller of travel, and does not sell, book, arrange, or guarantee any travel product or service. TravelBreeze does not receive or hold traveler funds.

Each Customer is solely responsible for:

  • its bookings, quotes, itineraries, pricing, commissions, invoices, and payments;
  • its relationships and contracts with Travelers and suppliers, and compliance with supplier terms;
  • any registration, licensing, bonding, or trust-account requirements that apply to it, including seller-of-travel laws in Florida (Fla. Stat. ch. 559, Part XI), California, Washington, Hawaii, Iowa, and elsewhere; and
  • the accuracy of information it provides to Travelers.

Supplier, cruise, and inventory information shown in the Services (including data from third-party providers) may be incomplete, out of date, or inaccurate. Always confirm details directly with the supplier.

Payment and invoice features in the Services record payments; they do not process traveler payments.

Customer Data and Your Responsibilities

Ownership. As between the parties, the Customer owns its Customer Data. You grant TravelBreeze a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, and display Customer Data as needed to provide, secure, and support the Services, to comply with law, and as otherwise described in the Privacy Policy.

Your responsibilities. You are responsible for Customer Data and for how you collect and use it. You represent and warrant that:

  • you have provided all notices and have all rights, consents, and lawful bases required to collect Traveler information, enter it into the Services, and have TravelBreeze process it (including information about minors, health and accessibility information, government identification numbers, and payment information);
  • you have obtained any required parental or guardian consent for information about minors;
  • your use of Customer Data complies with all applicable laws, including privacy, data security, consumer protection, anti-spam, and telemarketing laws; and
  • you will respond to Travelers' privacy requests about Customer Data.

Sensitive information. If you store payment card numbers, bank account numbers, government ID numbers, health information, or third-party account credentials, you do so at your own risk and must comply with laws and standards that apply to you (for example, PCI DSS for card data). Do not store card security codes (CVV/CVC). Do not store protected health information subject to HIPAA; TravelBreeze is not a HIPAA business associate.

Backups. You are responsible for keeping your own copies of important Customer Data. You may export Customer Data where the Services provide export tools, or by request.

How We Process Customer Data

For Customer Data that is personal information, TravelBreeze acts as the Customer's service provider and processor. We will:

  • process it only to provide the Services, on your documented instructions (these Terms and your use of the Services are your instructions), and as required by law;
  • not sell or share it, retain, use, or disclose it outside our direct business relationship with you, or combine it with personal information from other sources, except as permitted for service providers by the CCPA and its regulations;
  • require our personnel to keep it confidential;
  • use subprocessors listed in the Privacy Policy under written terms that protect the data, and remain responsible for them;
  • maintain reasonable security measures;
  • notify you without undue delay of a security breach affecting your Customer Data;
  • reasonably assist you with privacy requests and data protection assessments; and
  • delete or return Customer Data after the subscription ends, as described in the Privacy Policy, unless law requires us to keep it.

We may create de-identified or aggregated data from use of the Services and use it to operate and improve the Services, provided it does not identify you, your Users, or Travelers. We will not attempt to re-identify it.

Acceptable Use

You will not, and will not let anyone else:

  • use the Services to break any law, or to infringe or misappropriate anyone's rights;
  • upload Customer Data you do not have the right to use;
  • send spam, unsolicited marketing, or messages without required consent, or harvest contact information;
  • upload malware or attempt to probe, scan, or breach the Services or bypass access controls or usage limits;
  • access another Customer's data or share accounts or credentials;
  • scrape, copy, or reverse engineer the Services, except as permitted by law;
  • resell, sublicense, or provide the Services to third parties except as permitted by your plan;
  • use the Services to build a competing product;
  • use the Services for unlawful discrimination, or to harass, threaten, or defraud anyone;
  • impersonate any person or misrepresent your affiliation; or
  • interfere with the Services or other users.

You may create short links that redirect through linx.bio. You may not create links that point to unlawful, deceptive, phishing, malware, or infringing content, or use links to evade spam filters. We may disable any link at any time, and links may stop working when your account ends.

Public Profiles, Pages, and Content

You may publish public advisor profiles, agency pages, and blog posts ("Public Content"). You grant TravelBreeze a worldwide, non-exclusive, royalty-free license to host, display, reproduce, format, and distribute Public Content to operate and promote the Services (including in our public agency directory and sitemaps) while it is published. You are responsible for Public Content, including having permission to use photos, testimonials, logos, and names of other people and businesses. Testimonials and endorsements must comply with the FTC's rules on endorsements and reviews.

Communications Sent Through the Services

The Services send some messages to Travelers for you, such as form invitations, contact form notifications, and trip messages. You are responsible for the recipients and content of these messages and for complying with the CAN-SPAM Act and other email, text messaging, and telemarketing laws, including the Telephone Consumer Protection Act. You must not use the Services to send commercial email without a lawful basis, and you must honor opt-out requests.

You consent to receive transactional email, in-app notifications, and (if you opt in) push notifications and text messages from TravelBreeze about your account. Text messages are governed by Text Messaging (SMS) Terms below and our Messaging Terms.

Text Messaging (SMS) Terms

Program. TravelBreeze LLC sends text messages through the TravelBreeze Notifications program only to TravelBreeze account users who opt in by checking the unchecked consent box and confirming their mobile number in Notification Preferences (shown at travelbreeze.com/opt-in-form). Consent to receive text messages is not a condition of purchase.

Types of messages. We send: (1) one-time verification codes to confirm that you control the mobile number you entered; (2) one opt-in confirmation message; and (3) account notification alerts for the notification types you turn on for text, such as a traveler submitting a form, a new quote request, client feedback, a trip update, or a submitted payment plan. We do not send marketing or promotional text messages through this program.

Message frequency. Message frequency varies. The number of texts depends on your account activity and which notification types you turn on.

Cost. Message and data rates may apply. TravelBreeze does not charge for text messages.

How to opt out. You can cancel at any time. Text STOP to any TravelBreeze text message to opt out. You may also reply STOPALL, UNSUBSCRIBE, CANCEL, END, or QUIT. We will send one final message confirming that you are unsubscribed, and then you will receive no further texts from this program unless you opt back in. You can also remove your number in Notification Preferences.

How to opt back in. Text START to our number to re-subscribe and resume the text alerts you had turned on. You can also add and confirm your number again in Notification Preferences, which requires checking the consent box again.

How to get help. Text HELP to any TravelBreeze text message for help, or email [email protected].

Delivery. Carriers are not liable for delayed or undelivered messages. Delivery depends on your carrier and device and is not guaranteed.

Privacy. Mobile information, including phone numbers and text messaging opt-in data and consent, will not be shared with third parties or affiliates for marketing or promotional purposes. See our Privacy Policy for how we handle your information, and our full Messaging Terms for complete program details.

Electronic Forms and Signatures

The Services let you send forms that Travelers can complete and sign electronically, and record an audit trail. You are responsible for deciding whether an electronic signature is appropriate and enforceable for your purpose, for providing any disclosures and obtaining any consent required by the federal ESIGN Act, the Uniform Electronic Transactions Act (including Fla. Stat. ch. 668), or other laws, and for the content of your forms. TravelBreeze does not provide legal advice and does not guarantee that any form or signature is legally binding.

AI Features

Some features use AI to extract information from documents, match records, and suggest content. AI Output may be inaccurate, incomplete, or out of date. You must review AI Output before relying on it, including dates, prices, names, traveler details, and payment matches. AI Output is not professional, legal, financial, or travel advice. As between the parties, you own AI Output generated from your Customer Data, subject to the rights of others. You will not use AI features to process data you are not permitted to share with our AI providers. We do not permit our AI providers to use Customer Data to train their general models, to the extent their terms allow us to control this.

Plans, Billing, and Automatic Renewal

Plans. We offer free and paid plans, which may be purchased by an Agency for its Users (agency-paid seats) or by an individual advisor (member-paid). Plan features, seat pricing, and limits are described at checkout and on our pricing page and may change as described below.

Payment. Paid plans are billed in advance through our payment processor, Stripe, using the payment method you provide. You authorize us and Stripe to charge all fees and applicable taxes. Prices exclude taxes unless stated otherwise.

AUTOMATIC RENEWAL. Paid subscriptions automatically renew at the end of each billing period (monthly or annual, as you select) for the same period, at the then-current price, and your payment method will be charged automatically, until you cancel. We will tell you the price, billing frequency, and how to cancel before you purchase. For annual plans, we will send a reminder before renewal as required by law. If the price will increase, we will notify you in advance and you may cancel before the new price takes effect.

Free trials and promotions. If you start a free or discounted trial, we will disclose at sign-up the trial length, the price that will be charged when it ends, and the date of the first charge. Unless you cancel before the trial ends, your paid subscription begins and you will be charged. Where required by law, we will remind you before the trial converts.

How to cancel. You can cancel at any time online in the app (Subscription settings, which opens the Stripe billing portal), or by emailing [email protected]. Cancellation takes effect at the end of the current billing period, and you keep access until then. If you are an advisor whose seat is paid by an Agency, contact your Agency.

Refunds. Except where required by law or stated otherwise at purchase, fees are non-refundable, and we do not provide refunds or credits for partial billing periods, unused seats, or downgrades.

Seat and plan changes. Adding seats or upgrading may result in a prorated charge. Removing seats or downgrading takes effect as described at the time of change. Reserved seats for pending invitations count toward your seat total until they expire.

Failed payments. If a payment fails, we may retry the charge, downgrade your account to a free plan, or suspend paid features after notice.

California and Florida residents. We provide the clear and conspicuous automatic renewal disclosures, affirmative consent, acknowledgment, and online cancellation required by California's Automatic Renewal Law (Cal. Bus. & Prof. Code § 17600 et seq.) and Florida law (Fla. Stat. § 501.165), to the extent they apply. After purchase you will receive an acknowledgment by email that includes the renewal terms and how to cancel.

Third-Party Services

The Services integrate with or link to third-party services, including Stripe, Google Maps Platform, AI providers, supplier websites, and feedback tools. Your use of those services is governed by their terms. By using address search or map features, you agree to be bound by the Google Maps/Google Earth Additional Terms of Service and the Google Privacy Policy. We are not responsible for third-party services, and we may change or discontinue integrations at any time.

Our Intellectual Property

TravelBreeze and its licensors own the Services, including software, designs, templates, text, graphics, and trademarks. Subject to these Terms and your plan, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for your internal business purposes during your subscription. All rights not expressly granted are reserved. "TravelBreeze" and our logos are our trademarks; you may not use them without permission.

Feedback

If you send us ideas, suggestions, or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use them for any purpose without obligation to you.

We respect intellectual property rights. If you believe content on the Services infringes your copyright, send our designated agent a notice that includes: (1) your physical or electronic signature; (2) identification of the copyrighted work; (3) identification of the infringing material and its location (such as a URL); (4) your contact information; (5) a statement that you have a good-faith belief the use is not authorized by the owner, its agent, or the law; and (6) a statement, under penalty of perjury, that the information is accurate and you are authorized to act for the owner.

Designated Copyright Agent: TravelBreeze LLC, Attn: Copyright Agent, 30318 Plymouth Creek Cir, Sorrento, FL 32776, USA · [email protected]

If your content was removed, you may send a counter-notice as permitted by 17 U.S.C. § 512(g). We will terminate the accounts of repeat infringers in appropriate circumstances.

Suspension and Termination

By you. You may stop using the Services and cancel your subscription at any time as described above.

By us. We may suspend or terminate your access, with notice where practical, if you breach these Terms, fail to pay, create risk or legal exposure for us or others, or if required by law. We may also discontinue the Services or any feature with reasonable advance notice; if we discontinue a paid Service, we will refund prepaid fees for the unused period.

Effect. When your access ends, your right to use the Services stops. Customer Data is retained and then deleted as described in the Privacy Policy; you may request an export during the export window. Sections that by their nature should survive (including Customer Data responsibilities, fees owed, intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution) survive termination.

Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES, AI OUTPUT, AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DATA WILL NOT BE LOST, OR THAT NOTIFICATIONS OR MESSAGES WILL BE DELIVERED ON TIME OR AT ALL. TRAVELBREEZE IS NOT RESPONSIBLE FOR ANY TRAVEL PRODUCT, SUPPLIER, OR BOOKING.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

  • TRAVELBREEZE AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, COMMISSIONS, GOODWILL, OR DATA, OR FOR TRAVEL DISRUPTIONS, MISSED BOOKINGS, OR SUPPLIER FAILURES, EVEN IF ADVISED OF THEIR POSSIBILITY; AND
  • OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (US $100).

These limits apply to all theories of liability and even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so some may not apply to you.

Indemnification

You will defend, indemnify, and hold harmless TravelBreeze and its members, managers, employees, and agents from any claims, losses, damages, fines, and expenses (including reasonable attorneys' fees) arising from: (a) your Customer Data or Public Content; (b) your collection, use, or disclosure of Traveler information, including any lack of required notice or consent; (c) messages you send through or using the Services, including claims under the TCPA, CAN-SPAM, or similar laws; (d) your travel services, bookings, and supplier relationships; (e) your breach of these Terms; or (f) your violation of law or anyone's rights. We will notify you of the claim, let you control the defense (with counsel reasonably acceptable to us), and reasonably cooperate at your expense. You may not settle a claim that imposes obligations on us without our written consent.

Resolving Disputes: Arbitration and Class Action Waiver

Informal resolution first. Before filing a claim, you and TravelBreeze agree to try to resolve the dispute informally. Send a written notice describing the dispute and the relief requested to [email protected] (or to the email on your account, if we are sending notice). If the dispute is not resolved within 60 days, either party may begin arbitration.

Binding arbitration. Except as stated below, any dispute, claim, or controversy arising out of or relating to these Terms or the Services ("Dispute") will be resolved by final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules (or, if you use the Services primarily for personal purposes and the Consumer Arbitration Rules apply, those rules). The Federal Arbitration Act governs this section. The arbitrator decides all issues, including the scope and enforceability of this agreement to arbitrate, except that a court decides issues relating to the class action waiver. Arbitration will take place in Lake County, Florida, or by video conference, or, for claims under $10,000, on written submissions, unless the parties agree otherwise. Judgment on the award may be entered in any court with jurisdiction.

Exceptions. Either party may (a) bring an individual claim in small claims court if it qualifies, and (b) seek injunctive or other equitable relief in court to protect intellectual property or confidential information, or to stop unauthorized use of the Services.

CLASS ACTION WAIVER. YOU AND TRAVELBREEZE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims of more than one person or preside over any form of representative proceeding. If this waiver is found unenforceable as to a claim, that claim will be decided in court under Governing Law and Venue, and not in arbitration.

JURY TRIAL WAIVER. To the extent permitted by law, if a Dispute proceeds in court rather than arbitration, you and TravelBreeze waive any right to a jury trial.

30-day opt-out. You may opt out of this arbitration agreement by emailing [email protected] with the subject "Arbitration Opt-Out" within 30 days after you first accept these Terms. Include your name, account email, and a clear statement that you opt out. Opting out does not affect any other part of these Terms.

Changes. If we change this section, you may reject the change by emailing us within 30 days of the change, and the prior version will apply to Disputes between us.

Time limit. To the extent permitted by law, any Dispute must be brought within one year after it arises, or it is permanently barred.

Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules, and by the Federal Arbitration Act for the arbitration section. Subject to the arbitration section, the state and federal courts located in Lake County, Florida (including the US District Court for the Middle District of Florida, Ocala Division) have exclusive jurisdiction, and you and TravelBreeze consent to personal jurisdiction and venue there.

Export and Sanctions

You will comply with US export control and sanctions laws. You will not use, export, or allow access to the Services in or for any embargoed country or region, or by any person on a US government restricted-party list.

General Terms

  • Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, such as natural disasters, pandemics, war, terrorism, labor disputes, government action, internet or utility failures, or failures of third-party providers (excluding payment obligations).
  • Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets, or to an affiliate.
  • Severability. If any provision is found unenforceable, it will be modified to the minimum extent needed, and the rest remains in effect.
  • No waiver. Our failure to enforce a provision is not a waiver.
  • Entire agreement. These Terms, together with the Privacy Policy, Cookie Policy, Messaging Terms, any order form, and any data processing addendum, are the entire agreement between you and TravelBreeze about the Services and replace prior agreements. If there is a conflict, a signed order form or data processing addendum controls for its subject matter.
  • Independent contractors. The parties are independent contractors. No partnership, agency, or joint venture is created.
  • No third-party beneficiaries. These Terms do not give rights to anyone else, including Travelers.
  • Notices. We may send notices to the email on your account or through the Services. You must send legal notices to TravelBreeze LLC, Attn: Legal, 30318 Plymouth Creek Cir, Sorrento, FL 32776, USA, with a copy to [email protected]. Notices are effective when received, or for email, when sent without a bounce.
  • Electronic communications. You agree that notices, agreements, and disclosures we provide electronically satisfy any requirement that they be in writing.
  • Headings are for convenience only.

Changes to These Terms

We may update these Terms from time to time. We will post the new version with a new "Last updated" date. For material changes, we will notify you by email or in the Services at least 30 days before they take effect, unless a change is required by law or addresses a new feature, in which case it may take effect sooner. If you continue to use the Services after changes take effect, you accept them. If you do not agree, stop using the Services and cancel your subscription.
